Volunteer Ambulance Corps with paid staff

Until recently I was the director of operations, well, I still have the title, but not much of the responsibilities. I did this as a volunteer and ran with the agency as an paid EMT. Although we are a volunteer organization, we have paid staff 24/7 because of call volume. So, we have a set of by-laws governing our agency that were written back in 1999 that we are going by, while they are being revamped. Everything goes through our general membership. Our Board of directors decided that they were going to appoint, without posting the job, a position of what they named " EMS Coordinator of our ambulance corp. after they did this they made up the duties of this job, they were about the same as mine, Director Of Operations. They said that it was to do the administrative work as well as some of the operations. They told me he needed an assistant and asked me to stay on as the DO for now until they find a better name..... In NY what are the guidelines for a volunteer agency to appoint a paid person to a position without posting the job, doing an interview and etc.? I feel like I was shafted. are there some kind of guidelines that volunteer organization have to follow to have paid staff? If not, does this mean they can do whatever they want with paid staff, because they have no policies and procedures in place? I felt that I was doing fine and have been told that, now, they have a Board meeting, then afterward a close door session with the person they wanted and made me go to another room. Then afterward everyone left except the president and he took me in the office and told me all that had transpired. He said they even made the position so that person answers only to the Board and cut out the president in the process. Can they do that? H E L P!
